Bradbury Capital Closes TETE Merger, Lands $5M PIPE Ahead of Nasdaq Debut
The combined company, now Bradbury Capital Inc., is set to trade under BBCI and BBCI W on Oct. 7, with one investor buying 625,000 ordinary shares in the PIPE.
Bradbury Capital Holdings has completed its previously announced business combination with Technology & Telecommunication Acquisition Corporation, taking the company to Nasdaq and renaming the combined entity Bradbury Capital Inc.
Its ordinary shares and warrants are expected to begin trading on Nasdaq on October 7, 2026, under the tickers BBCI and BBCI W, respectively. Existing TETE units will separate into one ordinary share of the combined company and one warrant, and will no longer trade as standalone units.
Bradbury Capital operates through Malaysian subsidiary Super Apps Holding and strategic partnerships focused on electronic voucher services and digital payment solutions.
Concurrent with the business combination, Bradbury completed a $5 million PIPE financing. An investor purchased 625,000 ordinary shares in the private investment.
The transaction gives the company access to the U.S. public capital markets as it pursues additional technology development and expansion across Southeast Asia and other markets. Bradbury plans to use its public listing and strengthened capital markets position to support expansion of its electronic voucher and payment technology activities while pursuing additional partnerships and market opportunities.
The company's executive chairman and chief executive officer, Keith Loo See Yuen, framed the listing as a milestone built on its team and investors, and said the business is positioned to accelerate innovation and form strategic partnerships across Southeast Asia and beyond. Tek Che Ng, chief executive officer and chairman of Technology & Telecommunication Acquisition Corporation, said Bradbury's track record in digital payments and electronic voucher services, combined with its growth strategy, made it an ideal partner for the transaction, adding that TETE looks forward to supporting the company as it scales its technology platform.
The deal carried a bench of advisers. The Law Offices of Jenny Chen-Drake served as U.S. legal counsel to Bradbury, while Loeb & Loeb represented TETE. Ogier advised on Cayman Islands matters, and Darryl, Edward & Co. served as Malaysian legal adviser to Bradbury.
