Bumble Set to be Acquired by Ithaca Holdings for $1.3B
Bumble will be acquired by Ithaca Holdings in an all-cash deal, valuing the company at $1.3B, a 138% premium.
Bumble, the popular dating app known for its women-first approach, has announced that it has entered into a definitive agreement to be acquired by Ithaca Holdings in an all-cash transaction valued at approximately $1.3 billion. This purchase price translates to $6.05 for each share of Bumble's Class A common stock, representing a significant 138% premium over the company's unaffected closing share price from October 9, 2026.
The decision to sell comes after Bumble's independent Special Committee, which was supported by legal and financial advisors, evaluated various strategic alternatives. Ultimately, they recommended the Ithaca transaction as the optimal outcome for Bumble’s public and unaffiliated shareholders. The Board of Directors unanimously approved the deal, excluding founder and CEO Whitney Wolfe Herd, who recused herself from the discussions and vote.
Following the completion of the acquisition, Bumble will transition into a privately held company while maintaining its headquarters in Austin, Texas, and continuing operations in London and New York City. Ithaca Holdings, which aims to leverage frontier technology to enhance and accelerate businesses, sees considerable potential in Bumble's existing brand and community as dating behavior evolves in an increasingly digital landscape.
The leadership at Ithaca Holdings, Co-CEOs Ravi Gupta and John Hegeman, will take over as Co-CEOs of Bumble after the deal closes, working closely with Wolfe Herd, who will remain actively involved with the company. Both Gupta and Hegeman expressed their commitment to building on Bumble's legacy and mission, highlighting the importance of human connection in an AI-driven world.
Founded in 2014 by Wolfe Herd, Bumble has grown to encompass not just dating through its Bumble app but also friendship via Bumble BFF and business networking through Bumble Bizz. The app's women-first model has distinguished it in the crowded dating app market, contributing to its robust community and trusted brand.
As the transaction unfolds, Bumble is expected to file its Form 10-Q with the SEC by November 9, 2026, and will not issue a separate third-quarter earnings release or host an earnings conference call in light of the acquisition. With this strategic move, Bumble is poised to continue its mission of fostering meaningful relationships in a rapidly changing technological landscape.
